1. Introduction
1.1 These terms and conditions ("Terms") govern your participation in the Spark Social Referral Program ("Program") administered by Spark Social Inc. By participating in the Program, you agree to comply with these Terms.
2. Eligibility
2.1 The Program is open to individuals who are at least 18 years old and can enter into legally binding agreements.
2.2 Employees of Spark Social Inc. are eligible to participate in the Program.
3. How the Program Works
3.1 For a referred client to qualify under the program, an email or phone introduction from the referring partner to the referred client and Spark Social Inc. is
required.
3.2 A successful referral is defined as a referred potential client who signs a contract and becomes a paying client of Spark Social Inc.
3.3 On new monthly contracts, participants will earn 10% of the referred client's retainer for the first 6 months the client is engaged as their commission.
3.4 On per-project contracts, participants will earn 5% on the client's pre-tax project rate as their commission.
4.Commissions and Payouts
4.1 Commission payments will be made on a monthly basis.
4.2 Commissions will be paid to participants in the form of bank transfer, cheque, or via third party payment platform, depending on referring partner's location.
4.3 Independent Contractor Status: Referring partner shall provide Services as an independent contractor and channel partner shall not act as an employee, salesman or broker of Spark Social Inc. As an independent contractor, referring partner will be solely responsible for paying any and all taxes levied by applicable laws on its compensation. Referring partner understands that Spark Social Inc. will not withhold any amounts for payment of any taxes from commission compensation.
5. Compliance with Laws
5.1 Participants must comply with all applicable laws and regulations when participating in the Program.
6. Confidentiality
6.1 Participants may have access to confidential information about Spark Social Inc. and its clients. Participants agree to maintain the confidentiality of all such information and not disclose it to third parties.
7. Termination and Modification
7.1 Spark Social Inc. reserves the right to terminate or modify the Program at any time without notice.
7.2 Participants found to be engaging in fraudulent or unethical behavior may have their participation in the Program terminated, and any commissions revoked.
8. Limitation of Liability
8.1 To the extent permitted by law, Spark Social Inc. shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to the Program.
9. Modification of Terms
9.1 Spark Social Inc. reserves the right to modify these Terms at any time. Participants will be notified of any changes, and continued participation in the Program constitutes acceptance of the modified Terms.
